Terms & Conditions

Notice: This document outlines operational terms, software licensing, and service delivery frameworks between Rotrixo and client agencies. It is provided for operational transparency and should be reviewed with your legal counsel for specific jurisdictional compliance.

1. Scope of Services

Rotrixo ("Service Provider", "we", "us", or "our"), founded and operated by Rushikesh Rautrao, provides custom software engineering, Python workflow development, and AI integration services for digital media and content agencies ("Client", "you").

Deliverables include custom Python source code scripts, Streamlit graphical user interfaces, local automation workflows, configuration files, and installation documentation as defined in individual client agreements or project scopes.

2. Payments & Escrow Protection

Unless otherwise agreed in a separate written master services agreement, all standard customer onboarding and beta setup fees (including the $199 USD Beta Launch Package) are conducted via Upwork Direct Contracts.

Under Upwork Direct Contract terms, client funds are held securely in neutral escrow. Funds are only authorized for release upon complete delivery, deployment, and client verification of the specified workflow engine.

3. Intellectual Property & Code Ownership

Upon full release of agreed project fees, Service Provider assigns to Client a perpetual, worldwide, irrevocable, exclusive commercial license to use, modify, adapt, run, and execute the delivered custom code within Client's internal business operations.

All video assets, rendered audio tracks, and textual metadata generated by Client using the deployed engine remain 100% the exclusive property of Client. Rotrixo asserts zero ownership claims over Client's generated media output.

4. Third-Party API Keys & Credentials Isolation

Client video workflows interface directly with third-party application programming interfaces (including Google Gemini API, ElevenLabs, Apify, and Pixabay).

Client is solely responsible for creating, funding, maintaining, and adhering to terms of service for Client's own API accounts. All credentials are stored strictly in Client's local environment files (.env). Rotrixo does not maintain servers that intercept, proxy, or harvest Client API credentials.

5. Limitation of Liability

In no event shall Rotrixo, its founder, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or third-party platform policy enforcement (such as algorithm updates, platform strikes, or account suspensions by YouTube, TikTok, or Meta).

Service Provider's total aggregate liability arising out of or related to these terms shall not exceed the total fees paid by Client to Service Provider for the specific service under dispute.

6. Warranty, Bug-Fix Guarantee & Refunds

Rotrixo provides a 30-day bug-fix guarantee post-deployment. During this 30-day period, any operational defects or code malfunctions occurring within the original deliverable scope will be remediated without additional charges.

Because services involve custom software code transfer, refunds are processed according to Upwork Direct Contract escrow dispute mechanisms prior to milestone acceptance. Once milestone funds are accepted and source code is transferred, sales are considered finalized.

7. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of Maharashtra, India, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved amicably through mutual negotiation before formal arbitration.
